Kemorae Software License & Use Agreement

1. License Grant

Subject to this Agreement and successful activation, you are granted a limited, non-exclusive, non-transferable, revocable license to use Kemorae for your personal or internal business purposes.

Your purchase provides a license to use the Software. It does not transfer ownership of Kemorae, its source code, branding, intellectual property, or underlying technology to you.

2. Activation and Access

Kemorae may require an authorized email address, license code, signed entitlement, or other access credential to activate or restore access.

License codes and access credentials are issued for the authorized purchaser and may not be sold, transferred, published, shared for unauthorized use, or redistributed.

Kemorae may operate offline after successful activation. Because offline devices may not continuously communicate with Kemorae systems, license changes or revocations may not take effect until the Software reconnects to an online validation service.

3. Permitted Use

You may:

• install and use Kemorae on devices you personally own or control;
• use Kemorae for personal productivity or your own internal business activities;
• create, store, export, import, and manage your own records using the Software; and
• retain authorized offline access where supported by the Software.

Reasonable use across a purchaser's own devices is permitted unless a specific license type states otherwise.

4. Prohibited Use

You may not:

• resell, sublicense, rent, lease, distribute, or commercially provide access to Kemorae without written authorization;
• share a license code or entitlement to provide unauthorized access to another person;
• bypass, defeat, disable, or circumvent activation, entitlement, licensing, or security controls;
• copy, modify, reverse engineer, decompile, or attempt to extract proprietary source code except where applicable law expressly permits it;
• remove or misrepresent copyright, ownership, attribution, or proprietary notices; or
• use Kemorae in violation of applicable law.

Unauthorized redistribution or license circumvention may result in suspension or revocation of access.

5. Local Data and Backups

Kemorae is designed as a local-first application. Records may be stored on your device rather than in a Kemorae-hosted cloud account.

You are responsible for maintaining appropriate exports, backups, device security, and copies of information you consider important.

Unless expressly stated otherwise, Kemorae does not guarantee cloud synchronization, remote recovery, or restoration of locally stored information following device loss, browser-data deletion, storage corruption, reset, or similar events.

6. Speech and Browser Features

Certain Kemorae functions, including speech recognition, installation behavior, browser storage, microphone access, and offline capabilities, may depend on your browser, operating system, device, or third-party platform capabilities.

Availability and performance of those external capabilities may vary by device and are not guaranteed to operate identically on every supported environment.

7. Updates and Changes

Kemorae may receive corrections, improvements, feature changes, compatibility updates, or security updates.

An update does not automatically create a new purchase obligation unless a future version, edition, subscription, or paid upgrade is clearly identified as a separate offering.

Features may change when necessary for security, compatibility, legal compliance, product integrity, or continued operation.

8. Ownership

Kemorae, including its software, interface, branding, documentation, design, licensing architecture, and associated intellectual property, remains the property of its owner and licensors, as applicable.

No ownership rights are transferred under this Agreement.

Your records and information entered into Kemorae remain yours.

9. Suspension or Revocation

Access may be suspended or revoked when reasonably necessary because of:

• fraudulent or unauthorized purchases;
• payment reversals or chargebacks associated with unauthorized use;
• license sharing or redistribution;
• attempted circumvention of licensing or security controls;
• material violation of this Agreement; or
• use of Kemorae in connection with unlawful activity.

Because Kemorae supports offline operation, revocation of an already activated offline installation may be delayed until the device reconnects.

10. Refunds

Purchases are subject to the Kemorae Refund Policy in effect at the time of purchase.

A refund or reversed transaction may terminate the associated software license and entitlement.

11. Software Provided As Available

Kemorae is provided on an “as available” basis.

Although reasonable efforts are made to maintain reliable operation, no software can be guaranteed to operate without interruption, compatibility limitations, browser-specific behavior, data-storage failure, or other defects.

Kemorae should not be used as the sole repository for information whose loss could create significant financial, legal, safety, medical, or operational consequences.

12. Limitation of Liability

To the maximum extent permitted by applicable law, the operator of Kemorae will not be liable for indirect, incidental, special, consequential, or similar damages arising from use or inability to use the Software, including loss of locally stored information, loss of productivity, or reliance on user-generated records.

To the maximum extent permitted by applicable law, any direct liability arising from Kemorae will not exceed the amount paid by the purchaser for the applicable Kemorae license giving rise to the claim.

Some jurisdictions do not permit certain limitations, so portions of this section may not apply to you.

13. Termination

This Agreement remains effective while you use Kemorae.

Your rights under this Agreement may terminate if you materially violate its terms. Upon termination, you must stop using any access obtained through the affected license.

Provisions concerning ownership, prohibited redistribution, limitation of liability, and other provisions that by their nature should survive termination will remain effective.

14. Changes to This Agreement

This Agreement may be updated as Kemorae develops.

Material changes will apply prospectively unless applicable law requires otherwise. Continued use after an updated Agreement becomes effective constitutes acceptance of the updated terms where legally permitted.
